1. Acceptance of Terms

By accessing and using NSGrid ("Service", "Platform", "we", "us", or "our"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this Service. NSGrid is a subdomain marketplace platform that connects domain owners with lessees for subdomain leasing arrangements.

2. Description of Service

NSGrid provides a marketplace platform that enables domain owners ("Lessors") to list subdomains for lease to other users ("Lessees"). Our Service includes:

  • Subdomain listing and discovery marketplace
  • Automated DNS management and configuration
  • Payment processing and revenue distribution
  • Domain verification and ownership validation
  • Analytics and monitoring tools
  • Dispute resolution and customer support

3. User Accounts and Eligibility

To use certain features of the Service, you must register for an account. You must be at least 18 years of age and legally capable of entering into binding contracts. By registering, you represent that you meet these requirements and agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate and complete
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account
  • Use the Service in compliance with all applicable laws and regulations

4. Marketplace Operations

4.1 For Domain Owners (Lessors)

As a Lessor, you may list subdomains for lease on our marketplace. You agree to:

  • Own or have legal authority to manage the domain you're listing
  • Provide accurate information about your subdomain offerings
  • Maintain domain ownership throughout the lease period
  • Configure DNS settings as required for subdomain functionality
  • Honor all lease agreements made through our platform
  • Respond promptly to technical issues affecting leased subdomains

4.2 For Subdomain Lessees

As a Lessee, you may lease subdomains for your use. You agree to:

  • Use leased subdomains only for lawful purposes
  • Pay all fees associated with your leases on time
  • Comply with any usage restrictions specified by the Lessor
  • Not transfer or sublease subdomains without explicit permission
  • Maintain appropriate content standards on your subdomain
  • Remove all content upon lease expiration or termination

5. Payment Terms and Commission Structure

5.1 Platform Fees

NSGrid charges a 15% commission on all successful subdomain lease transactions. This commission is automatically deducted from payments before distribution to Lessors. The commission structure is as follows:

  • Platform Commission: 15% of lease payment
  • Lessor Share: 85% of lease payment
  • Commission is calculated on the total lease amount

5.2 Payment Processing

All payments are processed through our secure payment partners (Stripe and Paystack). Payment terms include:

  • Payments are due at the time of lease initiation
  • Payments are held in escrow for 30 days for fraud protection
  • Refunds are processed according to our refund policy
  • Lessors must connect a payment account to receive payouts
  • All fees are non-negotiable and clearly displayed before payment

5.3 Payment Holds and Disputes

To protect against fraud and ensure service quality, we implement a 30-day payment hold system. During this period, payments are held in escrow and may be released early or held longer based on:

  • Successful service delivery confirmation
  • Absence of disputes or chargebacks
  • Compliance with platform policies
  • Account standing and history

6. Prohibited Uses and Content

You agree not to use the Service or any leased subdomains for:

  • Any unlawful purpose or in violation of any laws or regulations
  • Hosting or distributing malicious software, viruses, or harmful code
  • Phishing, fraud, or other deceptive practices
  • Spam, unsolicited communications, or email marketing violations
  • Copyright infringement or intellectual property violations
  • Adult content, gambling, or other restricted activities
  • Activities that could damage our platform or other users' experiences
  • Cryptocurrency mining or high-resource consumption activities
  • Proxy services or network circumvention tools
  • Any activity that violates third-party terms of service

7. Domain Verification and Security

To ensure platform security and prevent fraud:

  • All domains must be verified before listing subdomains
  • Domain ownership is continuously monitored
  • We reserve the right to suspend listings if ownership cannot be verified
  • DNS configuration must be properly maintained by domain owners
  • We may implement additional security measures as needed

8. Intellectual Property Rights

Platform Intellectual Property

The NSGrid platform and its original content, features, and functionality are owned by NSGrid and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

User Content and Domains

You retain ownership of your domains and any content you host on leased subdomains. By using our Service, you grant us a limited license to facilitate subdomain management and marketplace operations. This includes the right to:

  • Display your listings in our marketplace
  • Configure DNS records as necessary for subdomain functionality
  • Monitor and analyze usage for platform improvement
  • Verify domain ownership and compliance

9. Privacy and Data Protection

Your privacy is important to us. Our use of your personal information is governed by our Privacy Policy, which forms part of these Terms. We collect and process data necessary to operate our marketplace, including:

  • Account information and payment details
  • Domain ownership and DNS configuration data
  • Transaction history and analytics
  • Communications and support interactions

10. Dispute Resolution and Support

We provide dispute resolution services for conflicts between users:

  • Disputes must be reported within 30 days of the issue arising
  • We will investigate and attempt to mediate disputes fairly
  • Our decision in disputes is final and binding
  • Repeated violations may result in account suspension
  • We reserve the right to withhold payments during active disputes

11. Platform Availability and Limitations

While we strive for high availability, we make no guarantees about:

  • Continuous, uninterrupted access to the platform
  • DNS propagation timing or global availability
  • Third-party service integration reliability
  • Internet connectivity or infrastructure issues
  • Force majeure events or circumstances beyond our control

12. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. We specifically disclaim:

  • Warranties of merchantability and fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties that the Service will be uninterrupted or error-free
  • Warranties regarding the security of data or communications
  • Warranties about third-party services or integrations
  • Warranties about subdomain performance or availability

13. Limitation of Liability

To the maximum extent permitted by law, NSGrid shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenues, data, or business opportunities
  • Service interruptions or subdomain downtime
  • Actions or omissions of other platform users
  • Third-party payment processor issues
  • DNS propagation delays or routing issues
  • Security breaches or data compromises beyond our control

Our total liability to you for all claims arising from your use of the Service shall not exceed the total amount of fees paid by you to NSGrid in the 12 months preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless NSGrid and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorney fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service or any leased subdomains
  • Your violation of any rights of another party
  • Content hosted on your subdomains
  • Any disputes with other platform users

15. Account Termination and Suspension

We reserve the right to suspend or terminate your account immediately for:

  • Violation of these Terms of Service
  • Fraudulent or suspicious activity
  • Non-payment of fees
  • Hosting prohibited content
  • Abuse of other platform users
  • Legal requirements or court orders

Upon termination, your right to use the Service ceases immediately. Active leases may be honored through their expiration unless terminated for cause. We may retain certain information as required by law or for legitimate business purposes.

16. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, government actions, internet outages, or third-party service failures.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to personal jurisdiction and venue therein.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.

19. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will be communicated with at least 30 days advance notice via email or platform notification. Your continued use of the Service after any such changes constitutes acceptance of the new Terms.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and NSGrid regarding your use of the Service and supersede all prior agreements and understandings.

By using NSGrid, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between you and NSGrid. If you do not agree to these Terms, you must not use our Service.
